Welcome to the digital properties owned and operated by Blue Heron, LLC ("Company," "we," "us," or "our"), including wearethegoodandthefree.com and utahmenstherapy.com (collectively, the "Websites"). Blue Heron operates under two dbas (“The Good and the Free” and “Utah Men’s Therapy”) and are run by Taylor Chambers, LMFT and his team.
By accessing or using our Websites, purchasing digital courses, registering for virtual summits, enrolling in coaching subscriptions, or submitting information through our online forms, you ("User," "Client," or "Purchaser") agree to be bound by this Terms of Use, Terms of Sale, and Privacy Policy (this "Agreement"). If you do not agree to these terms, immediately discontinue use of our Websites and services.
1. SERVICE DISTINCTION & HEALTHCARE PRIVACY DISCLAIMER (HIPAA FIREWALL)
1.1 Non-Therapeutic Website Usage
Browsing our Websites, downloading free resources, registering for virtual summits, submitting contact or scheduling forms, or purchasing digital products does not establish a therapist-client, doctor-patient, or clinical care relationship. Public website forms are not encrypted for confidential health data; do not submit private medical or psychological information through public forms.
1.2 Separation of Services: Clinical Psychotherapy vs. Non-Clinical Coaching & Products
Blue Heron, LLC operates two separate and distinct service divisions:
- Clinical Psychotherapy Services (utahmenstherapy.com): Licensed Marriage and Family Therapy (LMFT) services are provided strictly to individuals and couples residing in states where a Blue Heron, LLC therapist is licensed (currently Taylor Chambers, LMFT holds licenses in Utah, Kentucky, Arkansas, South Carolina, and Florida) and who have formally executed a clinical intake agreement. Clinical therapy involves the assessment, diagnosis, and treatment of mental health disorders under applicable healthcare laws.
- Non-Clinical Coaching & Educational Products (wearethegoodandthefree.com): Online courses, digital downloads, group communities, virtual summits, and 1:1 or group coaching offerings hosted on Kajabi or related platforms are purely educational, goal-oriented, and consultative. They do NOT constitute psychotherapy, medical diagnosis, mental health treatment, or healthcare services, and are available globally without geographic licensure restrictions.
1.3 HIPAA Applicability & Protected Health Information (PHI)
The Health Insurance Portability and Accountability Act (HIPAA) applies exclusively to active clinical psychotherapy clients receiving care through our secure, HIPAA-compliant Electronic Health Record (EHR) portals (SimplePractice or Upheal).
- Protected Health Information (PHI) generated during clinical therapy is governed by a separate, HIPAA-mandated Notice of Privacy Practices (NPP) provided directly within the clinical portal.
- Data collected on wearethegoodandthefree.com, Kajabi, or general website forms is non-clinical commercial data and is governed by Part III (Privacy Policy) of this Master Agreement, not HIPAA.Â
2. TERMS OF USE & INTELLECTUAL PROPERTY RIGHTS
2.1 Intellectual Property Ownership
All content on our Websites—including course video modules, workbooks, text, graphics, logos, virtual summit interview recordings, audio files, software scripts, and AI prompt frameworks (collectively, "Company Content")—is the exclusive intellectual property of Blue Heron, LLC and protected by United States and international copyright, trademark, and trade secret laws.
2.2 Limited License to Users
Upon purchasing a digital product or registering for a summit, Company grants you a single, revocable, non-exclusive, non-transferable license to access and view Company Content for your personal, non-commercial use only. You expressly agree NOT to:
- Reproduce, duplicate, copy, sell, trade, or resell any portion of Company Content or summit interviews.
- Share, assign, or transfer your Kajabi login credentials or access link to any third party.
- Use automated scripts, web scrapers, or AI extraction tools to gather data or content from our Websites.
2.3 User Conduct & Community Guidelines
When participating in virtual summit chat rooms, Kajabi community boards, or group coaching calls, you agree to engage respectfully. Company reserves the right, in its sole discretion, to terminate your access to platforms or communities without a refund if you engage in harassment, hate speech, spamming, or unauthorized self-promotion.
PART III: COMMERCIAL TERMS OF SALE, SUBSCRIPTIONS, & REFUNDS
3.1 Digital Products & Summit Passes
All sales of instant digital downloads, virtual summit lifetime access passes, workbooks, and pre-recorded video courses purchased through Kajabi or our checkout pages are final and non-refundable upon delivery of digital access credentials.
3.2 Recurring Coaching Subscriptions & Automatic Billing
If you enroll in a recurring coaching subscription (e.g., $399/month 1:1 coaching or $149/month group coaching), you authorize Blue Heron, LLC to automatically charge your credit card or payment method on file on a recurring monthly basis on your billing anniversary date until you formally cancel.
- Cancellation Policy: You may cancel your subscription at any time by submitting written notice to taylor@wearethegoodandthefree or canceling through your Kajabi account portal at least 3 business days prior to your next scheduled renewal date. 30 days notice is requested to facilitate aftercare planning and closure of coaching services.
- No Partial Refunds: Cancellation stops future billing. No pro-rated refunds are issued for unused portions of a monthly billing cycle already paid.
3.3 Waiver of Payment Chargebacks
By completing a purchase, you agree that you have received full consideration in the form of platform access or downloadable materials. You agree to contact [email protected] to resolve any billing questions and expressly agree not to issue fraudulent credit card chargebacks through your bank.
4. PRIVACY POLICY & DATA COLLECTION
4.1 Information We Collect
We collect information across our Websites in the following ways:
- Voluntary Personal Data: Name, email address, phone number, billing address, and credit card payment details (processed securely via Kajabi, SimplePractice, Upheal, Stripe or PayPal; we do not store full payment card details on our servers) provided when registering for summits, requesting consultations, or buying products.
- Automated & Derivative Technical Data: IP addresses, browser types, operating systems, access times, referring website URLs, and user navigation paths collected via server logs.
- Cookies & Analytics: We use standard cookies, web beacons, and tracking pixels (including Google Analytics and Meta Pixels) to optimize site performance, analyze audience traffic, and deliver relevant educational advertisements. You can disable cookies in your browser settings.
4.2 How We Use Your Information
We use non-clinical commercial data to:
- Deliver purchased courses, summit access links, and subscription features via Kajabi.
- Process payments and issue transaction receipts.
- Send opt-in promotional newsletters, summit updates, and product announcements (complying with CAN-SPAM rules by providing a 1-click "Unsubscribe" link in every marketing email).
- Protect our site security and prevent fraudulent transactions.
4.3 Disclosure to Third-Party Service Providers
We do not sell, rent, or trade your personal information. We share commercial user data only with trusted infrastructure vendors bound by confidentiality obligations, including:
- Hosting & Delivery: Kajabi, Carrd.
- Payment Processing: Stripe, PayPal, American Express Merchant Services, SimplePractice, or Upheal.
- Communication & Analytics: Google Workspace, Meta Analytics.
5. ARTIFICIAL INTELLIGENCE (AI) DATA PROCESSING & GOVERNANCE
5.1 Disclosure of AI Tool Integration
Blue Heron, LLC utilizes enterprise Artificial Intelligence (AI) software applications and automated processing tools to assist in administrative task management, transcribing coaching audio calls, drafting course outlines, summarizing research, and managing customer support inquiries.
5.2 Zero-Data Retention & Privacy Safeguards
We implement strict operational standards to protect user privacy when leveraging AI:
- No Public Model Training: AI processing is restricted to secure API endpoints and enterprise subscription tools explicitly configured with Zero-Data Retention (ZDR) rules. Your personal information, messaging logs, and session inputs are NEVER used to train, retrain, or improve public AI models (such as public ChatGPT or Claude).
- Data Anonymization: Personal Identifiable Information (PII) is removed or scrubbed before processing through automated transcription or summarization workflows wherever technically feasible.
- Human Oversight: AI technologies are utilized solely as drafting and analytical aids. All client communications, course content, and coaching frameworks undergo direct human review by Company coaches prior to delivery.
6. DISCLAIMERS, LIMITATION OF LIABILITY, & GOVERNING LAW
6.1 Disclaimer of Warranties & Results
All site content, digital products, coaching, and summits are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. Company makes no representations or guarantees regarding specific earnings, financial improvements, relational outcomes, or personal success resulting from participation in our programs.
6.2 Limitation of Liability
To the fullest extent permitted by law, Blue Heron, LLC, its members, managers, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Websites or products. Total monetary liability for any direct claim shall be limited strictly to the total dollar amount paid by you to Blue Heron, LLC during the 3 months prior to the claim.
6.3 Indemnification
You agree to defend, indemnify, and hold harmless Blue Heron, LLC and its officers, members, and employees from any claims, damages, liabilities, or expenses (including legal fees) arising from your breach of this Agreement or misuse of Company Content.
6.4 Governing Law, Jurisdiction, & Severability
This Master Agreement is governed by and construed in accordance with the laws of the State of Utah, without giving effect to conflict-of-law principles. Any legal action or dispute arising under this Master Agreement shall be litigated exclusively in the state or federal courts located in Washington County, Utah. If any provision of this Master Agreement is held invalid or unenforceable, that provision shall be severed and the remaining terms shall remain in full force.
